Terms of Service
The agreement between Scout AI LLC and the HVAC shops that use Scout, including the terms for the text messages Scout sends.
Effective date:
The agreement
These Terms of Service (“Terms”) are an agreement between Scout AI LLC (“Scout”, “we”, “us”) and the business that uses Scout (the “Customer”, the “shop” or “you”).
If you accept these Terms for a business, you confirm that you have authority to bind that business. Scout is for business use only.
The service
Scout is an AI front office for HVAC shops. Depending on what a shop sets up, Scout:
- Answers and handles calls for the shop.
- Texts the shop's customers and leads on the shop's behalf.
- Follows up with leads from the lead platforms the shop connects.
- Works with the shop's field service software.
We may add, change or remove features over time.
Accounts and connected services
You authorize Scout to access the accounts you connect, such as ServiceTitan, Housecall Pro, Meta, Google Local Services Ads, Yelp, Angi, Thumbtack and any others you choose. You also authorize Scout to act on your behalf within those accounts as needed to provide the service.
- Your use of each connected platform is still subject to that platform's own terms.
- You can disconnect a platform at any time.
- Connected platforms are run by third parties. We are not responsible for their availability, changes or errors.
- You are responsible for keeping your Scout login details secure and for activity under your account.
Your responsibilities
You agree to:
- Give us accurate information and keep it up to date.
- Use Scout only for lawful purposes.
- Have the consent the law requires, including under the Telephone Consumer Protection Act (TCPA) and carrier rules, before Scout calls or texts your customers and leads for you. That consent must be given to you for the kind of messages being sent. Replying to someone's own inquiry is different from sending ongoing or marketing messages, and promotional or marketing texts require the prior express written consent the law requires.
- Keep records of the consent you collect, and honor STOP requests.
- Give any notices and get any consents the law requires for call recording and for using automated or AI systems on calls and texts.
- Stay responsible for your own business decisions, your pricing and the work you perform.
You agree not to use Scout to send:
- Spam or messages to people who have not agreed to hear from you.
- Harassing, threatening, deceptive or illegal content.
- Content carriers prohibit, including sexual content, hate speech, and content about alcohol, firearms or tobacco where carrier rules do not allow it (often called SHAFT content).
Text messaging terms
This section covers the text messages Scout sends for shops. It applies to the shop and to anyone who receives those texts.
- Who sends them. Scout sends messages on behalf of the shop. The shop's name appears in the messages.
- What they are about. Service requests, appointments, estimates, invoices and follow-ups.
- Consent. You receive texts only after you give the shop consent for the kind of messages being sent, for example by submitting a lead form, requesting service or texting the shop. A reply to your own inquiry is different from ongoing or marketing messages, which need their own consent. Consent is not a condition of purchase.
- Shop consent duties. The shop must have consent for the kind of messages it sends through Scout, keep records of that consent and honor STOP requests. Promotional or marketing texts require the prior express written consent the law requires. Scout may pause or refuse to send messages that lack the required consent.
- Frequency and cost. Message frequency varies. Message and data rates may apply.
- Help. Reply HELP for help. You can also email [email protected].
- Stopping messages. Reply STOP to stop receiving messages. After you text STOP, you will receive one message confirming it and no further messages. To start receiving messages again, text START.
- Carriers. Carriers are not liable for delayed or undelivered messages.
- Privacy. Mobile information is not shared with third parties or affiliates for marketing purposes. See our Privacy Policy.
AI output and approvals
Scout uses AI to understand messages, draft replies and handle calls. AI output can be wrong or incomplete, so review your settings and the outreach Scout drafts for you.
Outreach, such as quote follow-ups, win-back messages and unpaid invoice follow-ups, waits for your approval before it goes out. Other messages, such as replies to new leads and the details Scout texts after a call, are sent as part of the service as it is set up for your shop.
When a lead platform's terms set rules for replies sent through it, for example disclosing that a reply is AI-assisted or having a person review certain replies, Scout and the shop follow those rules. Scout may limit or change automated replies on that platform to comply.
Your data
You own your data and your customers' data (“Customer Data”). You give Scout a limited license to use Customer Data only to provide and improve the service for you.
- Our use of Customer Data is governed by our Privacy Policy.
- We do not sell Customer Data.
- Scout does not use shop data or its customers' and leads' data to train AI models.
- We use AI model providers through business or API terms that do not permit them to use this data to train their models.
Fees
Fees are as agreed in your order or at checkout. You are responsible for any taxes that apply. If a payment is not made when due, we may suspend the service after giving you notice.
Term and termination
These Terms start when you accept them and continue while you use Scout. You may end them as set out in your order, or by emailing us if your order does not say.
We may suspend or end your access if you breach these Terms, if your use puts Scout, other customers or message recipients at risk, or if the law requires it.
When these Terms end, we stop providing the service, and we handle your data as described in our Privacy Policy.
Intellectual property and feedback
Scout and everything we provide to run it, including the software, design and content, belong to Scout AI LLC. These Terms do not give you any rights in them except the right to use the service as described here.
If you send us ideas or feedback, we may use them without any obligation to you.
Acceptable use
You agree not to:
- Copy, modify, reverse engineer or try to get the source code of Scout, except where the law allows it.
- Resell or share access to Scout without our written permission.
- Interfere with or disrupt Scout, or try to get around its security or limits.
- Use Scout to build a competing product.
- Use Scout in a way that breaks the law or the terms of a connected platform.
Disclaimers
Scout is provided “as is” and “as available”. To the extent the law allows, we make no warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that Scout will be uninterrupted or error-free, that AI output will be accurate, or that any particular call, lead or message will result in a booked job or a payment.
Limitation of liability
To the extent the law allows, Scout AI LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for all claims about Scout or these Terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
Indemnity
You will defend and indemnify Scout AI LLC against third-party claims, and the related losses and costs, that arise from your content, from your use of Scout in breach of these Terms, or from calls and texts sent for you without the consent the law requires.
Governing law and disputes
These Terms are governed by the laws that apply where Scout AI LLC is organized, without regard to conflict-of-law rules.
If a dispute comes up, please email [email protected] first. We will try in good faith to resolve it informally before either side brings a claim.
Changes to these Terms
We may update these Terms. The effective date at the top of this page shows when they last changed. If we make a material change, we will notify you before it takes effect. If you keep using Scout after a change takes effect, you accept the updated Terms.
